Terms & Conditions

Who We Are

Sphere Global, Inc. (“Sphere Global,” “we,” “our,” or “us”) is an operations technology company. We develop and deploy three core products PRISM, ELEVATE, and HawkYrd for finished vehicle logistics, trucking and carrier operations, and industrial yard and terminal environments.

These Terms and Conditions govern your use of our website and any web-based tools, forms, or communication channels we operate. They do not govern the use of our products under a signed commercial agreement. If you are a Sphere Global customer using PRISM, ELEVATE, or HawkYrd under contract, your service agreement takes precedence over these terms in matters related to product use.

Acceptance of Terms

By accessing or using sphereglobal.com, you confirm that you are at least 18 years old, that you have the authority to agree to these terms on behalf of yourself or your organization, and that you will comply with them.

We may update these terms from time to time. When we do, the updated version will be posted at this URL with a revised effective date. Continued use of the site after an update constitutes your acceptance of the revised terms. We will flag significant changes clearly so you are not caught off guard.

Use of This Website

You may use sphereglobal.com for lawful purposes only. Specifically, you may not use this site to transmit unsolicited commercial communications, interfere with or disrupt site infrastructure or security, attempt to gain unauthorized access to any part of the site or its backend systems, scrape, harvest, or collect data from the site using automated means, impersonate Sphere Global or any member of our team, or engage in any activity that violates applicable law or the rights of others.

We reserve the right to restrict or terminate access to the site for any user who violates these terms or whose behavior creates risk for us, our users, or third parties.

Intellectual Property

Everything on sphereglobal.com—the written content, product descriptions, design elements, logos, graphics, code, and structural architecture belongs to Sphere Global, Inc. or is used by us under license.

You may read, download, and print content from our site for your own personal or professional reference. You may not reproduce, republish, redistribute, sell, or modify our content for any commercial purpose without our written permission.

The Sphere Global name, logo, and product names (PRISM, ELEVATE, HawkYrd) are trademarks of Sphere Global, Inc. Using them without authorization is not permitted.

If you want to reference our content, quote from our site, or use our brand assets for a legitimate purpose, contact us at sales@sphereglobal.com. We are generally reasonable about these requests.

Demo Requests & Form Submissions

When you submit a demo request, contact form, or any other inquiry through our site, you are giving us permission to contact you about Sphere Global’s products and services. We will handle your information in accordance with our Privacy Policy at sphereglobal.com/privacy-policy.

Submitting a form does not create a contractual obligation on either side. It is the beginning of a conversation, not the conclusion of one.

Product Information & Accuracy

We make every effort to ensure the product descriptions, capabilities, and technical information on sphereglobal.com are accurate and current. Operational technology evolves, and we update our site as our products do.

That said, the content on this site is provided for informational purposes only. It does not constitute a warranty, guarantee, or contractual representation of product performance. Specific capabilities, configurations, and outcomes depend on your operational environment, data quality, and deployment context. The terms of any Sphere Global commercial engagement are governed by a separate signed agreement.

If you are evaluating Sphere Global’s products and have specific technical or performance questions, the right place to get answers is a demo conversation with our team, not a website page.

Links to Third-Party Sites

Our website may contain links to third-party websites, partner pages, or external resources. We include these links because we think they are useful, not because we endorse everything on them.

Sphere Global has no control over the content, privacy practices, or terms of third-party sites. Clicking a link to a third-party site means you are leaving sphereglobal.com and entering that third party’s environment. We are not responsible for what happens there.

We encourage you to read the terms and privacy policies of any external site before providing personal information.

Disclaimer of Warranties

We provide sphereglobal.com and its content “as is” and “as available.” To the extent permitted by applicable law, we make no warranties, express or implied, about the site’s accuracy, reliability, availability, or fitness for a particular purpose.

We do not warrant that the site will be free of errors, interruptions, or security vulnerabilities. We do not warrant that any information on the site is complete or current at the time you read it.

This disclaimer does not affect any statutory rights you may have under applicable consumer protection or data protection law.

Limitation of Liability

To the maximum extent permitted by law, Sphere Global, Inc. will not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of sphereglobal.com or your reliance on information found on the site.

This includes damages related to loss of data, loss of business, or any other economic loss, even if we were advised that such damages were possible.

Our total liability for any direct claim arising from your use of the site will not exceed one hundred US dollars (USD $100), or the amount you paid us in the twelve months preceding the claim, whichever is greater.

Nothing in these terms limits liability that cannot be legally excluded, including liability for fraud, gross negligence, or death or personal injury caused by our actions.

Indemnification

You agree to defend, indemnify, and hold harmless Sphere Global, Inc. and its employees, officers, directors, and agents from any claims, damages, losses, or costs (including reasonable legal fees) that arise from your violation of these terms, your use or misuse of the site, or your infringement of any third-party rights.

We reserve the right to take over the defense of any matter subject to indemnification by you, at our own expense.

Privacy

Your use of this site is also governed by our Privacy Policy at sphereglobal.com/privacy-policy. That document explains what personal information we collect, why we collect it, and how we protect and use it. The Privacy Policy is incorporated into these terms by reference.

Cookies

We use cookies on sphereglobal.com for site functionality, analytics, and, where applicable, marketing purposes. Our Cookie Policy at sphereglobal.com/cookie-policy explains how cookies work on our site and how you can manage your preferences.

Governing Law & Jurisdiction

These terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles.

Any dispute arising from these terms or your use of sphereglobal.com will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey. By using our site, you consent to that jurisdiction.

If you are accessing our site from outside the United States, you are responsible for ensuring your use of the site complies with the laws of your jurisdiction.

Dispute Resolution

Before either party pursues formal legal action, we ask that you contact us directly at legal@sphereglobal.com to describe the issue and give us a reasonable opportunity to resolve it. We are not difficult to reach, and most issues can be resolved through a direct conversation.

This informal step is not a waiver of any legal rights. If direct resolution does not work, both parties retain the right to pursue whatever legal remedies are available.

No Waiver

If we choose not to enforce a specific provision of these terms at any given time, that does not mean we are waiving our right to enforce it in the future. A one time accommodation is not a permanent change to these terms.

Severability

If any provision of these terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or removed entirely if modification is not possible. The remaining provisions will continue in full force.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and Cookie Policy, represent the entire agreement between you and Sphere Global regarding your use of sphereglobal.com.

They replace and supersede any prior communications, representations, or understandings about the subject matter covered here.

Changes to These Terms

We may revise these terms when our practices change, when the law requires it, or when we find a clearer way to say something. The updated effective date at the top of this page will always reflect the most recent revision.

If the changes are material, we will provide additional notice on the site. Continued use of sphereglobal.com after a revision means you accept the updated terms.

We recommend checking this page periodically. The current version always lives at sphereglobal.com/terms.
